Summary/Objective: The Assistant General Counsel is a mid-level attorney who provides advice and support on a wide range of legal and business matters. The Assistant General Counsel will be primarily responsible for drafting, reviewing, and negotiating a variety of complex commercial contracts with little supervision required.The AGC serves as a deal facilitator who has a creative, flexible, and highly practical approach to solving problems and getting deals done. This attorney will have excellent contract drafting and negotiation skills, outstanding interpersonal communication skills, a strong understanding of business principles, and extensive experience interacting with business executives to provide timely, practical advice.
The AGC will also assist with a wide variety of ancillary matters, including vendor agreements, billing & collections matters, corporate entity management, and legal department operations. This attorney will thrive in an environment of rapid change, and easily handle shifting priorities.

Qualifications:
- Independently, structure, draft, and negotiate complicated commercial agreements with customers and partners including professional service agreements and nondisclosure agreements.
- Respond to contract-related inquiries and provide guidance as a subject matter expert.
- Identify and evaluate contractual and legal risks related to new business projects and work with outside counsel/relevant subject matter experts as needed. Advise on matters related to contract interpretation and disputes; manage outside counsel accordingly.
- Establish relationships with the business leadership team as a trusted advisor.
- Ensure that the Company conducts its business in compliance with applicable laws and regulations, including without limitation, False Claims Act, Anti-kickback, Stark, Corporate Practice of Medicine, disclosure regulations under state and federal law (as applicable), HIPAA and all other federal, state and local laws governing the business, keeping abreast of emerging legal issues that may have an impact on the Company
- Develop and build infrastructure to support streamlining of processes and improvement of efficiency and quality.
- Manage a Senior Paralegal who assists with a broad range of contracting and operations functions.
- Handle additional assignments and responsibilities as needed.
- Hybrid: At least 3 days per week at assigned work site along with in-person organizational meetings; all other days may be worked remotely.

Qualifications:
- Juris Doctorate from an accredited law school
- 8 or more years of experience in professional legal work
- Experience in corporate legal department preferred
