Overview:

Reporting to the General Counsel, the Commercial Contracts Attorney is responsible for providing legal advice and counsel to the executive management of K-LOVE Inc. and its affiliates. Specific areas of practice may include but are not limited to commercial contracts, leases and land-use agreements, advising on aspects of mergers and commercial acquisitions and dispositions, real estate development transactions, and litigation matters.
Clear and timely communication, high level of initiative, and close partnership with the General Counsel, Ministry Leadership Team, and outside counsel are essential to the success in this role. Effectiveness will be measured in the ability to successfully apply legal expertise and insights to projects and the management of relationships both internally and externally.

Here’s just some of what you will be doing daily…
  • Research, understand and recommend approaches based on ministry’s interests and legal and ethical principles.
  • Partner with General Counsel to assess and manage areas that pose a legal risk to the ministry.
  • Establish and maintain solid relationships with business unit owners, outside legal counsel, and internal clients.
  • Analyze and communicate complex legal issues and make recommendations to decision-makers.
  • Draft and review a variety of documents such as commercial contracts, leases and land-use agreements, advising on aspects of mergers and commercial acquisitions and depositions, real estate development transactions, litigation matters, licensing agreements, IP development agreements, hardware contracts, discovery documentation, SaaS and professional services contracts, and other contracts.
  • Negotiate terms of transactions.
  • Manage outside counsel relationships in partnership with the General Counsel, including litigation management and billing matters.
  • Partner with and assist in the management and resolution of commercial leasing and other legal issues.
  • Ensure that K-LOVE Inc. is compliant with pertinent rules, laws and regulations.
  • Perform, at the request of the General Counsel, legal audits and recommend procedures and policies to mitigate risks.
  • Keep the General Counsel informed of all legal activities and developments.
  • Provide a positive, professional influence throughout the ministry; maintaining a harmonious work environment within your office and with those with whom you work.
  • Perform other duties as assigned.

  • Juris Doctorate or similar degree from an accredited school of law.
  • Licensed to practice law in Tennessee or eligible for in-house exemption.
  • 1 plus year of experience as a commercial or contracts attorney.
  • Experience with commercial contracts, including negotiation, drafting, and administration.
  • Experience solving complex challenges and collaborating across internal and external teams.
  • Experience drafting, negotiating, and management of sophisticated agreements, including SaaS, licensing, and real estate. Also, agreements including commercial acquisitions and dispositions, development, financing, leasing, ground leasing, land use, and MSA’s.
  • Experience advising on critical compliance matters involving domestic and international data privacy laws.
  • Ability to strategically influencing legal policies and business practices.
  • Knowledge of Intellectual property, non-profit law, FCC laws, and litigation experience, preferred.
  • Must possess sound judgment regarding appropriate risk tolerance while effectively communicating risks to key stakeholders to drive expedient, thoroughly informed decisions.
  • Excellent analytical, written, verbal communication, and interpersonal skills.
  • Ability to build trust and value others; collaborative spirit with a servant leader philosophy within a supportive team.
  • High level of integrity; demonstrated ability to work independently; establishing and meeting performance/ministry goals.
