Associate General Counsel, Securities
Overview:
The Associate General Counsel, Securities offers a great opportunity for an outstanding attorney to join the small but sophisticated legal department at a rapidly growing, publicly traded life sciences company located in Chicago. This position will provide legal support on all capital markets, securities law and corporate governance aspects of the business and work closely with our business teams to contribute to our financial and operational success.
Responsibilities:
- Oversee and manage Xeris’ SEC filings, including Forms 10-K, 10-Q, and 8-K, Section 16 reports, annual proxy statements, securities offerings and other related filings
- Assist with capital markets transactions, including via registered secondary offerings, at-the-market offerings, registered direct offerings and PIPEs
- Advise on public disclosures, external communications, corporate secretary and governance matters, and other public company obligations and best practices
- Advise on compliance with corporate law, securities rules and regulations (including Regulation FD), ESG and stock exchange rules and best practices relating thereto
- Provide legal advice and support with respect to 10b5-1 trading plans, executive compensation, the company’s insider trading policy and other related corporate matters
- Serve as a direct legal advisor to all business units regarding the above
Qualifications:
- Juris Doctor (JD) degree from an accredited law school required
- Is a member in good standing of a state bar association
- Minimum of 5-7 years of transactional and contract drafting and negotiating experience at a mid- to large-sized law firm and/or established company
- Experience working in-house at a life sciences company or the life sciences group at a law firm is a plus but not required
- Capable of handling multiple and competing workloads with changing priorities to meet deadlines
- Able to work independently but know when to involve others or ask for guidance
- Can work effectively with all levels of the organization

- Position may require periodic evening and weekend work, as necessary to fulfill obligations. Infrequent overnight travel.
- This is a hybrid role based in Xeris’ Chicago office and requires a minimum of three days per week in the office. On-site requirement may change at management’s discretion.
