Our client, a prominent AmLaw 100 firm, is seeking a talented Associate Attorney to join their Corporate Practice Group in New York or Atlanta(link removed) This is an exciting opportunity to work on high-profile transactions while collaborating with leading attorneys in corporate finance, mergers and acquisitions, and securities law.
Candidate Profile:
- JD from a top-tier law school with a strong academic record(link removed)>
- Bar Admission in the relevant jurisdiction.
- 4+ years of substantive corporate transactional experience in a law firm setting(link removed)>
- Strong background in corporate finance, M&A, securities, and general corporate matters(link removed)>
- Experience working with emerging companies and venture capital is strongly preferred(link removed)>
- Excellent drafting, negotiation, and analytical skills.
- Detail-oriented with the ability to manage multiple transactions simultaneously.
- Strong communication skills and a team-oriented mindset.
Key Responsibilities:
- Represent clients in corporate finance, M&A, venture capital, and private equity transactions(link removed)>
- Draft and negotiate transaction documents, including stock purchase agreements, asset purchase agreements, and financing agreements(link removed)>
- Advise clients on securities law compliance, corporate governance, and regulatory matters(link removed)>
- Conduct due diligence and manage transaction structuring from inception to closing.
- Work closely with senior attorneys and clients to develop and implement business strategies.
