Compliance Counsel

We are in search of a Compliance Counsel to join our dynamic team in the IT Software industry, located in the Philadelphia Suburbs. In this role, you will handle a variety of corporate legal tasks, including managing contracts, advising on regulatory matters, and ensuring that our software and operations align with healthcare IT regulatory standards at all levels.

Responsibilities:

  • Oversee corporate legal matters, ensuring that our operations comply with federal, state, and local healthcare IT regulatory requirements.
  • Manage the process of contract negotiation, ensuring compliance with all relevant laws and regulations.
  • Act as the primary liaison for current and emerging healthcare IT regulatory requirements, ensuring our team is always up-to-date.
  • Develop and implement processes to enhance healthcare IT compliance education within our organization.
  • Lead the compliance committee in collaboration with senior leadership, Privacy, Security, and Information Security Officers.
  • Oversee the drafting, review, and maintenance of contracts, and manage the relationships with customers, third parties, and vendors.
  • Advise management and business units on legal matters such as contract negotiations, breach of contract claims, intellectual property rights, and employment law.
  • Oversee the corporate foreign business registration status and ensure compliance with trademarks, patents, intellectual property rights, and trade secrets.
  • Manage a legal team, including contract administrators and senior legal associates, while also handling external counsel for litigation matters.
  • Coordinate the annual SOC 2 Type II audit and develop an annual compliance work plan to address key risks
  • Minimum of 4 years of experience in the field of Compliance Counsel
  • Proven expertise in Corporate Legal matters
  • Proficient in drafting, analyzing, and managing contracts
  • Demonstrated excellence in compliance-related tasks
  • Bachelor's degree in Law or a related field
  • Must possess excellent communication and negotiation skills
  • Ability to work in a fast-paced, challenging IT software environment
  • Strong analytical abilities and attention to detail
  • Proven ability to handle confidential information with discretion
  • Demonstrated ability to work independently and as part of a team
  • Must be able to manage multiple tasks and meet deadlines
  • Familiarity with IT software industry regulations and standards is preferred
