Job Summary:

The Director, Corporate Counsel - Contracts will report to the Executive Director, Corporate Counsel and provide general legal support to the Legal Department and various business functions across the company relating to a breadth of routine and complex legal topics specific to a fast-paced biotechnology.

Director, Corporate Counsel - Contracts will closely collaborate with members of the Legal and Finance teams to effectively streamline internal processes and assist our global business functions in a high-growth biotech poised to bring its novel oncology product candidates to commercialization.

This position is based in our Woburn office and welcomes hybrid work! Local candidates are expected to be on-site 2 days per week.

Description of Core Responsibilities

This is a key role in the growth of the legal function in an exciting biotech company as we rapidly progress toward biologic license application filings and our first potential commercial product launch.

You, as the successful candidate of the Director, Corporate Counsel - Contracts position, will report to the Executive Director, Corporate Counsel and will provide a broad range of legal analysis, services, support and counsel to the Company, particularly focusing on all contracting, licensing and related matters across the organization.

You will be applying your prior experience leading and assisting with general transactional support, contract negotiations and management, and other routine and complex legal matters.

Special projects arise unannounced and, as assigned, you will participate in cross-functional teams and committees to effectively, efficiently and creatively meet the corporate needs. In this position, you will work closely with colleagues across the organization, ideally bringing leadership to other business functions to achieve efficiency and consistency in approach across varying business functions and objectives.

Key Factors for Success
  • Lead and manage the vendor contracting review end-to-end process, including oversight of systems and procedures related to vendor contracting.
  • Collaborate with various business functions, develop an understanding of the business function needs and assist in contract negotiation and maintenance as necessary.
  • Draft, review, and negotiate complete suite of vendor contracts, including CDAs, MSAs, SOWs, license agreements, sponsorship agreements, and consulting agreements.
  • Influences overall negotiation strategy and on material matters as advised by the General Counsel, including enhancing and improving contract fulfillment and management activities.
  • Ensures contract negotiations and executions are compliant and handled consistently within the appropriate approval authority matrix.
  • Collaborate with Legal Department to manage risk assessment of proposed terms and conditions and develop recommendations to minimize their potential risk to the business including the development of a library of standard documents, contract clauses, and templates relevant to the vendor contract process.
  • Establish systems to monitor and track performance across all stages of contract life cycle.

Qualifications:

Education:

  • JD (or equivalent law degree).

Required Experience:

  • 4+ years' experience as a Director/Sr. Contracts Manager or Contracts Manager or Corporate/Commercial Counsel (or equivalent legal and/or contract experience).
  • 4+ years' of management experience with leadership skills, including substantive experience managing, reviewing, revising and negotiating commercial contracts, strategic alliances and other business transactions in the life sciences/biotech sector.
  • Experience with pharmaceutical drug development and commercialization processes is highly preferred.
  • Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint.
  • Proficiency with a contract management database.
  • Proficiency with redlining legal and business terms in a variety of vendor engagement agreements.
  • Highly organized and detail-oriented.
  • Strong communication skills (both oral and written) with an ability to communicate legal issues in a clear and understandable manner.
  • Proven ability to build relationships across functions and sites and inspires trust and confidence through effective communication and interpersonal skills.
  • Proven ability to understand overall business need as well as individual department or team needs.
  • Proven ability to work independently and prioritize tasks/projects in alignment with business need and/or as guided by the Legal Department.
  • A strong sense of professionalism and discretion.
  • Enthusiastic and open to learning new subject matters.
  • Strong work ethic and ability to manage large workload, focus on critical priorities, and otherwise effectively meet internal legal needs and deadlines directly.
  • Excellent analytical and problem-solving skills.
  • Enthusiasm and self-starter qualities, and ability to manage responsibilities with an appropriate sense of urgency.
  • Ability to function effectively and efficiently in a fast-paced and dynamic environment.
