Job Title: Corporate Board Secretary

Location: Onsite - Alpharetta, GA

Key Responsibilities

Corporate Governance & Compliance:

  • Ensure the company complies with relevant laws, regulations, and listing requirements.
  • Maintain and update corporate policies in alignment with governance best practices.

Board & Shareholder Management:

  • Organize and facilitate Board meetings, shareholder meetings, and other corporate governance activities.
  • Prepare and distribute meeting agendas, minutes, and resolutions.
  • Act as a key liaison between the Board of Directors, executives, and stakeholders.

IPO & Capital Market Compliance:

  • Lead or support the IPO process, including regulatory filings, prospectus preparation, and liaising with financial institutions, legal advisors, and regulatory bodies.
  • Ensure compliance with SEC (or relevant stock exchange) regulations post-listing.
  • Manage investor relations and disclosure requirements.

Regulatory Filings & Documentation:

  • Oversee the preparation and submission of required corporate filings, including SEC reports, annual reports, and disclosures.
  • Maintains corporate records, contracts, and agreements.

Risk Management & Internal Controls:

  • Develop and implement corporate risk management frameworks.
  • Ensure transparency in financial and operational reporting.

Stakeholder Communication & Investor Relations:

  • Serves as a key point of contact for investors, analysts, and regulatory bodies.
  • Drafts and reviews press releases, investor presentations, and disclosures.
Requirements
  • Bachelor’s or Master’s degree in Law, Business Administration, Finance, or related fields.
  • 10+ years of experience as a Company Secretary, Board Secretary, or in a senior corporate governance role.
  • Experience leading or participating in an IPO process is required.
  • Strong knowledge of U.S. corporate governance laws, SEC regulations, and listing requirements.
  • Excellent communication, organizational, and stakeholder management skills.
  • Familiarity with financial and legal documentation.
  • Experience working in multinational or publicly listed companies is preferred.
