Corporate Paralegal - Philadelphia

This role involves providing high-level assistance in the preparation and filing of corporate documents, managing complex transactions, and coordinating with clients and internal teams.

• Assist in the preparation and filing of corporate documents, including incorporation papers, organizational documents, and SEC filings.
• Draft and review corporate resolutions, minutes, and other governance documents.
• Support mergers, acquisitions, and corporate transactions, including due diligence and closing process.
• Manage corporate records and ensure compliance with federal, state, and local regulations.
• Assist attorneys with client communications, document management, and preparing materials for board meetings and shareholder meetings.
• Conduct legal research and maintain up-to-date knowledge of corporate governance and regulatory matters.
• 3-4+ years of experience as a corporate paralegal in a large law firm or corporate environment.
• Strong knowledge of corporate governance, M& A, securities law, and general corporate legal matters.
• Proficient with legal research, document management, and e-filing systems.
• Excellent communication, organizational, and time-management skills.
