What can you expect?
The Corporate Secretariat (Pacific) team comprises six governance professionals, including this role. Together, they deliver a range of company secretarial services for boards across the MMC Pacific region for Mercer, Marsh, Guy Carpenter and Oliver Wyman, in Australia, New Zealand, Papua New Guinea and Fiji.The team assumes responsibility for all corporate governance processes and provides advice on relevant corporate governance and prudential topics. The Corporate Secretariat (Pacific) team are a key interface with Directors, the People Leadership Team, and other senior leaders within the MMC Pacific business.
Reporting to the Corporate Secretary, Pacific, with a dotted reporting line to the Trustee Office Leader within the Mercer Super business, the Company Secretary (Superannuation) is a governance leader within the team with overall accountability for the MSAL Board program, and the MSAL business corporate governance activities, in conjunction with the Mercer Super business.
The Company Secretary (Superannuation) is a key member of the MMC Corporate Secretariat (Pacific) team and is responsible for the proper functioning of the Mercer Superannuation (Australia) Limited (MSAL) Board (the Board) and its committees.MSAL is a Registrable Superannuation Entity (RSE) and the holder of an Australian Financial Services License (AFSL).
The Board has five committees, each meeting at least quarterly: Audit and Risk Committee, People and Culture Committee, Member Experience Committee, Investment Committee and Insurance Committee. The Board comprises six independent directors, all domiciled in Australia.The MSAL Board Chair is Jim Minto. The Board meets monthly, including a strategy meeting and two accounts-related meeting.
The role actively manages a busy and complex annual schedule of meetings, the preparation and review of Board and committee documentation, including papers, minutes, and matters arising - as well as associated Company Secretarial reporting obligations.In a fast-paced, dynamic environment, this role provides corporate governance support to enable Directors to discharge their corporate and fiduciary duties effectively, in conjunction with the Mercer Super business. The role has one direct report, an Assistant Company Secretary (Superannuation).
This is a senior position within a busy and complex secretariat, providing support to the Corporate Secretary (Pacific), Directors and Executive Group members.

Manage the board and committee meeting mattersManage new initiatives and transactions as required
Undertake policy and charter writing and reviews
Lead and manage process and system development, enhancement, and training
Other ad hoc duties as required.
What you need to have:
Bachelor of Laws or related Bachelor qualifications in a legal / business discipline.Member of the Governance Institute of Australia, and designation as a Chartered Secretary.
Minimum five years recent experience in a senior governance role and/or a company secretary in a financial services firm, preferably in superannuation.
SIS Act, Prudential Standards, Corporations law, and governance experience.
Corporate transaction experience.
Technical acumen and proactive, continuous improvement attitude.
